Welcome to Elyxr Labs. These Terms of Service (the “Terms”) govern your access to and use of all current and future websites, applications, software, APIs, subscription plans, tools, products, and services (collectively, the “Services”) provided by Elyxr Labs and its affiliates. By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our , and any supplementary policies or guidelines we may provide in connection with specific Services (collectively, the “Agreement”).
If you do not agree to any provision of this Agreement, you must immediately discontinue using our Services.
Elyxr Labs may, at its discretion, add, remove, or modify the features and functionalities of its Services, whether on a temporary or permanent basis, without prior notice or liability. This includes changes intended to enhance security, improve user experience, or comply with evolving legal requirements.
We reserve the right to revise or update these Terms. Such modifications become effective upon posting to our official channels (e.g., our website). You are responsible for reviewing the most current version of the Terms. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
You must be at least eighteen (18) years old, or the age of majority in your jurisdiction, to use our Services. By registering, you confirm you meet this minimum age requirement and are fully capable of entering into legally binding agreements.
Certain functionalities may require creation of a user account (“Account”). By registering an Account, you agree:
(a) all information you provide is accurate, current, and complete;
(b) you will maintain and promptly update the information to keep it accurate; and
(c) you will safeguard your Account credentials and notify Elyxr Labs promptly of any unauthorized use.
You are solely responsible for activities that occur under your Account. Elyxr Labs disclaims liability for losses arising from unauthorized access or use of your Account if you fail to keep your credentials secure.
We reserve the right to limit, suspend, or terminate your Account or access to the Services (in whole or in part) if we believe, in our sole judgment, that you have violated these Terms, any applicable law, or for any other reason we deem appropriate.
You may terminate your Account at any time following the prescribed procedures. No refunds will be provided for partial usage of paid subscription periods, unless otherwise stated in a separate agreement or required by law.
Elyxr Labs does not take custody of your digital assets. You are solely responsible for managing your private keys and any security measures to protect your Digital Wallet. Elyxr Labs has no control or liability over any blockchain transaction once it is broadcast to a network.
Transactions on most blockchains are typically irrevocable, and we cannot reverse or modify any transaction once confirmed on the network. You acknowledge that any incorrectly performed transaction may result in permanent loss of assets or access.
It is your responsibility to ensure the security of your Digital Wallet. Elyxr Labs shall not be liable for losses resulting from compromised credentials, attacks on your wallet, or malicious third-party actions.
You agree to use our Services only for lawful, authorized, and legitimate purposes. Prohibited activities include, but are not limited to:
Attempting to circumvent or compromise the security of the Services, or interfering with any servers, networks, or databases connected to the Services.
Decompiling, disassembling, or reverse-engineering our software or Services without express prior written permission.
Using automated means (e.g. bots, scripts, or crawlers) to index, scrape, mine, or otherwise collect information or data from our Services, except as explicitly authorized by Elyxr Labs.
Using our Services (or any content derived therefrom) to develop or enhance a competing product or service; or for benchmarking or comparative analysis intended to disadvantage or discredit Elyxr Labs.
Deploying AI-driven or machine learning solutions in ways that infringe upon user privacy or violate intellectual property rights, or using our AI tools (including AlphaSum) in a manner that discloses proprietary algorithms, techniques, or data that is not intended for public release.
Uploading, transmitting, or providing any content that is unlawful, defamatory, harassing, obscene, or otherwise violating third-party rights.
Engaging in or attempting to facilitate money laundering, terrorist financing, market manipulation, or other illegal activities through or in connection with our Services.
Elyxr Labs reserves the right to determine, at our sole discretion, whether your activity constitutes a violation of these Terms and to take appropriate remedial actions accordingly.
All content, software, designs, text, graphics, logos, trademarks, trade names, and other materials made available by Elyxr Labs in the Services (collectively, the “Elyxr Content”) are the exclusive property of Elyxr Labs or its licensors. You acquire no rights to Elyxr Content aside from the limited, revocable license set forth herein.
Subject to continued compliance with these Terms, Elyxr Labs grants you a non-exclusive, non-transferable, revocable license to access and use the Elyxr Content solely in connection with your authorized use of our Services. Any unauthorized copying, modification, distribution, or derivative use of Elyxr Content is strictly prohibited.
The “Elyxr Labs” name, brand, and all associated logos and slogans are trademarks or service marks owned or licensed by Elyxr Labs. Other product and company names appearing in the Services may be trademarks of their respective owners. No right or license to use any trademark is granted hereunder.
By submitting ideas, suggestions, or other feedback (“Feedback”) to Elyxr Labs, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, adapt, reproduce, distribute, and otherwise exploit such Feedback for any lawful purpose, without obligation of confidentiality or compensation to you.
Our Services may incorporate or display content, data, or features from third-party providers, blockchain protocols, or external sites (“Third-Party Elements”). Elyxr Labs has no control over these providers or protocols and bears no responsibility for their actions, availability, or performance.
Your interaction with any Third-Party Element is strictly at your own risk, and Elyxr Labs disclaims all liability arising from your use of or reliance on such external content or services.
The Services may contain hyperlinks to third-party websites. These links are provided for convenience, and Elyxr Labs does not endorse nor assume responsibility for the content, privacy practices, or other policies of external websites.
Elyxr Labs’ Services are intended for general informational and educational purposes. We do not provide, nor do we purport to provide, financial, investment, legal, tax, or other professional advice.
Any references to specific tokens, projects, market movements, or investment opportunities do not constitute endorsements or solicitations. Users should conduct their own due diligence and consult professional advisors before making financial decisions.
Elyxr Labs is not acting as your agent, broker, advisor, or fiduciary in any transaction. We disclaim any duty to advise you or act in your best interest in relation to investment decisions, blockchain interactions, or other activities connected with our Services.
You acknowledge the volatile, experimental nature of crypto assets, blockchain networks, and decentralized finance (“DeFi”), including the possibility of total loss of funds or disruptions due to technical failures, attacks, or protocol changes.
To the maximum extent permitted by law, Elyxr Labs provides the Services on an “as is” and “as available” basis. Elyxr Labs disclaims all representations or warranties of any kind, whether express, implied, or statutory, including those regarding merchantability, fitness for a particular purpose, non-infringement, accuracy, uptime, or error-free operation.
Any reliance on or use of our Services is solely at your own risk. Elyxr Labs does not warrant or guarantee any particular outcomes, gains, or the accuracy of any data, especially data derived from AI or blockchain networks.
Elyxr Labs may suspend, limit, or discontinue any or all Services without prior notice. We do not warrant the availability or functionality of any portion of our Services at all times.
If any part of our Services is labeled as “beta,” “trial,” “pre-release,” or similar, you understand these features may contain bugs or unstable functionalities. Your use of such features is provided without warranty of any kind.
To the fullest extent allowed by law, Elyxr Labs and its directors, employees, affiliates, or agents shall not be liable for indirect, special, incidental, punitive, or consequential damages, including lost profits or data, arising from or in connection with your use of the Services.
In no event shall Elyxr Labs’ total liability to you exceed the amount (if any) you have paid to Elyxr Labs for the specific Service giving rise to the claim in the twelve (12) months preceding the event, or one thousand US dollars (USD 1,000), whichever is less.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation/exclusion of liability for certain damages. In such cases, some of the above disclaimers and limitations may not fully apply to you, and you may have additional rights under local law.
You agree to indemnify, defend, and hold harmless Elyxr Labs, its affiliates, officers, directors, employees, and agents from and against any and all third-party claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or connected with:
Your breach or alleged breach of these Terms;
Your misuse of the Services;
Your violation of any applicable law or regulation; or
Your infringement or misappropriation of any intellectual property right or other right of a third party.
Elyxr Labs may, at its sole discretion, suspend or terminate your access to the Services (in whole or in part) at any time for any reason, including but not limited to suspected violations of these Terms or any laws.
Upon termination, your right to access the Services ceases immediately. All provisions of these Terms that by their nature should survive termination shall remain in effect (including, without limitation, provisions related to limitations of liability, indemnification, and dispute resolution).
Unless otherwise stated in writing, no refunds of any prepaid amounts (if applicable) will be provided upon termination or suspension.
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-laws principles.
Any dispute arising out of or relating to these Terms (including any question regarding their existence, validity, or termination) shall be referred to and finally resolved by arbitration in London, United Kingdom, under the rules of the London Court of International Arbitration (LCIA), and in the English language. The arbitrator’s award shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its rights or enforce obligations under these Terms, without first going through arbitration, if appropriate.
Elyxr Labs shall not be liable for any failure or delay in performing its obligations hereunder when such failure or delay is caused by events beyond its reasonable control, including, but not limited to, natural disasters, war, acts of terrorism, civil disturbances, embargoes, strikes, or disruptions in telecommunication or internet services.
Elyxr Labs may assign or transfer its rights and obligations under these Terms to any affiliated entity or any successor-in-interest without notice or consent. You shall not assign or transfer any rights or obligations under these Terms without Elyxr Labs’ prior written approval.
These Terms (together with any referenced documents or policies) constitute the entire agreement between you and Elyxr Labs concerning the Services. They supersede all prior or contemporaneous written or oral agreements relating to the Services.
If any provision of these Terms is deemed invalid or unenforceable, such provision will be modified to the minimum extent necessary to make it valid or enforceable, and the remaining provisions shall remain in full force and effect.
Elyxr Labs’ failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Unless explicitly stated otherwise, these Terms do not create rights enforceable by third parties who are not a party to these Terms.
From time to time, we may offer promotions, sweepstakes, or special deals (“Promotions”). Each Promotion may have additional terms, which will govern in the event of any conflict with these Terms. We reserve the right to modify or withdraw any Promotion at any time without prior notice.
Some Elyxr Labs Services interact with decentralized applications (“dApps”) or blockchain networks. If you choose to connect a blockchain wallet (“Digital Wallet”), you agree Elyxr Labs may access limited information (such as your wallet address and on-chain transaction data) in accordance with our .
